1. Acceptance

By downloading, installing, or using Poly Studio ("Software") by VAapps ("we", "us"), you agree to these Terms. If you do not agree, do not use the Software.

2. License grant

Free tier. We grant you a non-exclusive, non-transferable license to use the Free version of the Software on any number of machines, subject to its feature limits.

Pro tier. Each purchased Pro license key permits activation on one server or one machine at a time, and unlocks Pro features on that installation for you and the users you manage on it. One license may be moved from one installation to another you own by deactivating/replacing the key.

License Term. A Pro license is issued for a fixed term of one (1) year from the date of activation. The license includes all Pro features and every update released during the term. When the term ends, the Software gracefully reverts to the Free tier - your data is never deleted or locked. Continued Pro access requires a renewal (offered at a discount).

3. Restrictions

• You may not share, resell, or publicly post your license key.
• You may not reverse-engineer, decompile, modify, or circumvent the license validation, except to the extent such restriction is prohibited by applicable law.
• You may not redistribute the Software or repackage it for resale without our written permission.
• Team/company use: each simultaneously active server or machine installation requires its own Pro license key. (A single key may be moved between installations you own by deactivating the old one first - see section 2.)

4. Your data and systems

The Software connects to database systems you control and operates on your infrastructure. You are solely responsible for your credentials, backups, generated scripts (including AI-generated SQL and ALTER scripts), and for any changes you apply to your databases. Always review generated scripts before executing them against production systems.

5. AI features

AI features use an endpoint you configure and control (e.g., Ollama). AI output is generated content: we make no warranty about its correctness, and you must validate AI-generated SQL, scripts, and documentation before reliance or execution.

6. Payments, billing and refunds

Billing. License purchases are billed at ₹2,999/year for customers in India (in Indian Rupees) and $99/year for international customers (in US Dollars). The applicable currency and price are determined automatically at checkout based on your billing region. VAapps is the seller of record; payments are collected through Razorpay, our payment gateway, and checkout is additionally subject to Razorpay's terms and privacy policy. We do not auto-renew or auto-charge - renewals are manual.

Taxes. You are responsible for all applicable taxes.

Refunds - all sales final. All license purchases are non-refundable. The Software is offered with a full-featured 14-day free trial that requires no payment details or account, so you have ample opportunity to evaluate the Software before purchasing; a purchase constitutes your informed acceptance of these Terms. Licenses are digital goods delivered instantly by email, and once issued they cannot be "returned". The only exceptions are obvious errors, such as duplicate charges or gateway/technical failures, in which case contact support@vaapps.com and we will correct the transaction or refund it in full to the original payment method via Razorpay.

7. Intellectual property

The Software, its design, and all associated content (excluding your data and third-party components under their own licenses) are owned by VAapps. No rights are granted except as stated here.

8. Disclaimer of warranties

The Software is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability or fitness for a particular purpose.

9. Limitation of liability

To the maximum extent permitted by law, VAapps is not liable for any indirect, incidental, consequential, or special damages - including data loss or downtime - arising from use of the Software. Our aggregate liability is limited to the amount you paid for the license in question.

10. Termination

We may revoke a license key for material breach (e.g., key sharing or fraudulent purchase). On termination of the license you must deactivate the key; Free-tier use otherwise continues under these Terms.

11. Governing law

These Terms are governed by the laws of Telangana, India, without regard to conflict-of-laws rules. Courts in Telangana, India have exclusive jurisdiction.

12. Changes

We may update these Terms; the effective date above reflects the latest revision. Continued use after changes constitutes acceptance.
